THE SERVICES AND CONTENT OF PHONE SUPPORT LTD

1) USE OF PHONE SUPPORT LTD

1.1. You (the "Customer") are permitted by Phone Support Ltd to access and use the Phone Support Ltd website located at www.PhoneSupportWorldwide.com, as long as you agree to abide by these Terms & Conditions.

1.2. To use Phone Support Ltd, you will need to create a customer account/character, when you create this account you must provide us with accurate and complete registration information (email, date of birth, etc) and it is your responsibility to inform us of any changes to this information. If you need to tell us about a change, please email us using the 'Contact Us' form.

1.3 To use Phone Support Ltd you must be at least 16 years, people under the age of 16 are prohibited from accessing the Phone Support Ltd website. By accepting these Terms and Conditions you are confirming that you are over 16 years of age. Any user found to be younger than 16 will have their account suspended from the service until such time as they can prove they are 16 or older.

1.4. You are responsible for account security, (making sure no one else logs on your account). You should make every effort to ensure that any and all usernames/passwords associated with Phone Support Ltd are kept safe. 1.5 You are responsible for all activity/behaviour on any/all Phone Support Ltd user accounts you have created. You must inform Phone Support Ltd immediately if you suspect someone knows your password, or has been accessing your account.

1.6 If you forget or lose your password/account name you must use the 'Contact Us' form to retrieve it. If we suspect an account is being used by someone other than the person that created it, then we may place a temporary suspension, (safety ban) on that account while confirm the owner's identity and return it to them.

1.7 Phone Support Ltd users accounts are none transferable. Phone Support Ltd customers may not willingly allow another person access to their account. Any user found to be sharing, transferring accounts will be suspended from the Phone Support Ltd service.

1.8 Phone Support Ltd user accounts that are unused will be deleted from the system, however, we will never delete accounts that have; a positive/negative balance, active membership, any ban record. Accounts will be deleted without notification on a regular basis.

1.9 The service offered by Phone Support Ltd does not include the provision of computer or other equipment. To use Phone Support Ltd you will require Internet connectivity and appropriate telecommunication links. Phone Support Ltd shall not be liable for any telephone or other costs that you may incur.

1.10 Phone Support Ltd (the website) using public areas (the forums, messaging) for commercial use is not permitted without prior consent from Phone Support Ltd.

1.11 Phone Support Ltd customers may not modify, copy, distribute, transmit, broadcast, display, perform, reproduce, publish, licence, create derivative works from, transfer or sell any information or services obtained from Phone Support Ltd. All our intellectual property rights and those of persons providing content to the site are fully reserved.

1.12 Phone Support Ltd users may not seek to obtain unauthorised access to Phone Support Ltd 's computer systems, information or any of their databases.

1.13 The Phone Support Ltd software is only licensed use via the Phone Support Ltd website. Phone Support Ltd does not permit its customers to use the Phone Support Ltd software for any other purpose. You agree to use Phone Support Ltd only via the Phone Support Ltd website and not through any other means. You further agree not to create or provide any other means through which others may use Phone Support Ltd.

1.14 You agree you will not hold Phone Support Ltd , its subsidiaries, affiliates and employees, responsible for any breach to these Terms & Conditions. This would include, but is not limited to; responsibility for any reasonable legal costs made by any third party due to, or arising out of, any breach by you of these Terms & Conditions.

2) USE OF THE PHONE SUPPORT LTD CHAT SYSTEMS AND FORUMS

2.1 Phone Support Ltd contains chat rooms and forums (forums include but not limited to message boards, social networks, and JoinAVSC.com Messaging, profiles, and comments). Customers of Phone Support Ltd may use any or all of these means to pass messages, information and images to other Phone Support Ltd customers or third party users. Customers must agree to use these services only to post, send and receive messages and material that Phone Support Ltd deems to be proper. Phone Support Ltd users will not:

2.1.1 Break any of the Phone Support Ltd Rules; a list of these rules can be found HERE.

2.1.2 Use the Supervisor chat or forums in connection with commercial surveys and contests, junk email, spamming or any other duplicative messages without prior consent from Phone Support Ltd ;

2.1.3 Use the Supervisor chat or forums to insult, abuse, stalk, threaten, harass, or otherwise violate the legal rights of others (including people who are not Phone Support Ltd customers);

2.1.4 Use the Supervisor chat or forums to publish, link to or speak about any material that might be classed as inappropriate, this would include, but is not limited to paedophilia, bestiality, necrophilia, illegal acts, images excessively sexual in nature and adult images containing nudity that have not been marked as adult content;

2.1.5 Use the Phone Support Ltd user profiles to upload material protected by intellectual property laws or copyright unless you own or control the rights to that material, or have received the necessary consent to do so;

2.1.6 Use the Phone Support Ltd user profiles to upload files that contain viruses, Trojan horses, worms, or any other similar software or programs that may damage the Phone Support Ltd site or the computer/computers of a Phone Support Ltd customer or staff member;

2.1.7 Use the Supervisor chat or forums to advertise, or offer to sell/buy goods/services without prior consent from Phone Support Ltd ;

2.1.8 Download, replicate or distribute any material posted by another Phone Support Ltd user (this would include information passed to you via voice chat), without their knowledge and consent, unless this information is available to the public (For example, a users guestbook).

2.1.9 Use the Supervisor chat or forums to harvest/collect personal data (a definition of personal date can be found below). This would include; email addresses, real life names, customer ages, etc?

2.1.10 Use, download or otherwise copy/provide (whether for a fee or not) any information on Phone Support Ltd users to another party, this would include; site usage information, any directory of Phone Support Ltd users, etc?;

2.1.11 Use the Supervisor chat or forums to break any applicable laws or regulations;

2.1.12 Use the Supervisor chat or forums to impersonate others or create a false identity for the purpose of misleading others;

2.1.13 Attempt to forge headers or otherwise manipulate information sent via the Phone Support Ltd chat system, instant messaging system, user profiles and voice chat in order to disguise the source of that information;

2.2 You agree to take full responsibility for Phone Support Ltd against all losses, liabilities, costs and expenses reasonably suffered or incurred by Phone Support Ltd , all damages awarded against Phone Support Ltd and all financial amounts paid by Phone Support Ltd as a result of any settlement agreed by Phone Support Ltd in connection with:

(a) Any claim by a third party that your use of Phone Support Ltd is illegal, defamatory, offensive, abusive, obscene or pornographic in nature, or breaches any applicable law, regulation or code of practice;

(b) Any claim by any third party that your use of Phone Support Ltd infringes copyright or other intellectual property rights;

(c) Any fines/penalties imposed on Phone Support Ltd by any regulatory, advertising or trading body or any other authority in connection with your use of Phone Support Ltd;

2.3 Phone Support Ltd has no obligation to monitor content posted using Supervisor chat or forums. However, Phone Support Ltd reserves the right to review, record and store any and all information, (this includes voice chat) posted by Phone Support Ltd customers and remove or edit any information deemed unsuitable.

2.4 Phone Support Ltd reserves the right to terminate your access to Phone Support Ltd and all its systems at any time, without notice, or for any or no reason.

2.5 Phone Support Ltd Moderators shall treat all customers the same, regardless of sex, age, marital status, colour, race, ethnic, or national origin.

2.6 Phone Support Ltd reserves the right to disclose/publish any information it deems necessary to satisfy any applicable; law, regulation, legal process or governmental request.

2.7 Phone Support Ltd reserves the right to edit, refuse to post, or to remove any information or material, in whole or in part, that it deems unsuitable.

2.8 Phone Support Ltd does not control or endorse the content, messages or information found on the Supervisor chat or forums and therefore, does not accept liability or responsibility for any actions resulting from said content, messages and information.



3) LATE PAYMENTS, SUSPENSIONS, AND TERMINATIONS

3.1 The Customer agrees that Phone Support Ltd may suspend services to the Customer without notice and without liability if: (i) PHONE SUPPORT LTD reasonably believes that the services are being used in violation of the AUP; (ii) the Customer fails to cooperate with any reasonable investigation of any suspected violation of the AUP; (iii) PHONE SUPPORT LTD reasonably believes that the suspension of service is necessary to protect its network or its other customers, or (iv) as requested by a law enforcement or regulatory agency. The Customer shall pay Phone Support Ltd's reasonable reinstatement fee if service is re-instituted following a suspension of service under this subsection.

3.2 All recurring service invoices (monthly, 3 months, 6 months, 12 months) are generated 10 days in advance prior to due date by our automated billing system. Failure to settle all amounts within 24 hours of the due date may result in withholding of further Services and/or suspension of existing Services. Accounts which are delinquent will be placed on "administrative hold" or suspension and may not be used or accessed.

3.3 Any invoice that is outstanding for 5 days past due date and not paid will result in a £5.00 late fee. The late fee will be payable before the service is re-activated.

3.4 Any invoice that is outstanding for fourteen (14) days past due date and not paid may result in an automatic account termination. The service associated with that invoice will be removed from our system. All previous logs, call recordings, and notes will be destroyed.

3.5 The Customer is still responsible for the subscription fees while the site is suspended. Furthermore if the service has been terminated due to non-payment and the Customer wishes to reinstate this service the Customer is subject to a minimum of a six (6) months subscription and a reactivation fee of £15.

3.6 Phone Support Ltd may temporarily deny service or terminate this Agreement upon the failure of the Customer to pay charges when they become due. Such termination or denial will not relieve the Customer of responsibility for the payment of all accrued charges, plus reasonable interest and any collection fees.

3.7 Accounts which are overdue for 90 days will incur a £25 penalty fee added to the balance previously due.

3.8 In the event of non-payment, you agree to Phone Support Ltd's right to place a "non-payment" notice on your phone number and website if applicable. Furthermore you agree that the phone numbers of any of your services remain unchanged until full payment for the outstanding balance on your account has been received by Phone Support Ltd.

3.9 Phone Support Ltd may record and transmit details of how the Customer has performed to a Credit Bureau, and how the account is conducted by the Customer in meeting their obligations on the account.

3.10 Phone Support Ltd will not be held responsible for any damages, losses or claims as a result of a service being suspended or terminated.

3.11 Un-suspensions may take one or more working days.

4) EXCLUSION OF WARRANTIES AND LIMITATION OF LIABILITY

3.1 The Phone Support Ltd website contains information that Phone Support Ltd believes to have come from reliable sources. However, Phone Support Ltd accepts no responsibility for this information, nor does it guarantee the accuracy of any information published on the Phone Support Ltd website.

3.2 Phone Support Ltd gives no guarantee that the content of the Phone Support Ltd site, the software used to support it and the other services offered by Phone Support Ltd are free from error. Phone Support Ltd accepts no responsibility or liability for interruptions to the service it provides, infection by viruses or anything else that has contaminating or destructive properties.

3.3 Phone Support Ltd will not be liable for any damages incurred (this would include, but is not limited too; loss of business opportunities, data, goodwill, projects, or profit loss) howsoever arising (in contract or otherwise) by you, from the use of, or inability to use, the Phone Support Ltd website, or any of its content/material. Further, Phone Support Ltd will not be liable for any action taken against you as a result of you using the Phone Support Ltd website or any of its content.

3.4 You agree that in any event Phone Support Ltd 's liability for any damages and losses (including negligence) shall not under any circumstances exceed the amount paid by you (if any), for accessing the Phone Support Ltd website.

5) THIRD PARTIES

5.1 You agree to acknowledge that any links that appear on the Phone Support Ltd website, may lead to information, material and images located on servers/sites maintained by independent third parties, over whom Phone Support Ltd has no control. Phone Support Ltd accepts no responsibility or liability for any of the information, material or images contained on those servers/sites; nor does Phone Support Ltd accept responsibility for the availability of such external sites or resources.

5.2 You acknowledge and agree that you are solely responsible for evaluating any goods or services offered by us, or by third parties via the Phone Support Ltd website and that Phone Support Ltd will not be held in any way responsible for any transactions between you and third parties.

5.3 You acknowledge that links to other websites may send "cookies" or other downloads to your PC and solicit personal information. Phone Support Ltd has no control over these external sites and accepts no responsibility for their actions.

5.4 Phone Support Ltd accepts no responsibility or liability for adverting material submitted to Phone Support Ltd and displayed on the Phone Support Ltd website. The advertisers are responsible for ensuring that any and all material submitted for inclusion on the Phone Support Ltd website complies with all legal requirements.

6) GENERAL PRACTICES REGARDING USE AND STORAGE

6.1 You acknowledge and agree Phone Support Ltd may establish general practices and limits concerning use of the website and their service, this includes but is not limited to; the maximum number of days that messages or any other uploaded content will be stored on the website servers, the maximum number of messages that may be sent/received by a customers account, the maximum size of any message that may be sent/received by a customers account, the maximum disk space that will be allocated to each Phone Support Ltd user on the servers.

7) PHONE SUPPORT LTD SOFTWARE LICENCE

7.1 Phone Support Ltd may occasionally provide you with certain software which you can download from the Phone Support Ltd website to enhance your experience of the Phone Support Ltd site. You acknowledge and agree that any material downloaded or otherwise obtained through the Phone Support Ltd website is downloaded at your own discretion and risk. You will be solely responsible for any damage to your computer system or loss of data that results from the download of any such software.

7.2 Any software downloaded from the Phone Support Ltd website is protected by applicable intellectual property, copyright, and other laws and may only be used subject to the terms of the user licence agreement which will accompany the software.

7.3 You acknowledge and agree that the copying, reproduction, modification, and creation of plagiaristic works from any software obtained through the Phone Support Ltd site is prohibited. Further, you agree not to redistribute, sell, loan, lease, or rent any software acquired through the Phone Support Ltd website, unless it is expressly permitted under the terms of the softwear licensing agreement.

7.4 You acknowledge and agree that Phone Support Ltd gives no warranty in relation to any software downloaded via the Phone Support Ltd site. You may rely only on such warrants provided by the software proprietor in the licensing agreement.

8) PHONE SUPPORT LTD SERVICES SUBJECT CHARGES

8.1 You acknowledge and agree that certain services are provided by Phone Support Ltd for or a fee or other charge. These fees and charges are described on the Phone Support Ltd websites, you agree to the pricing, payment and billing policies applicable to which can be found on the 'Services' page.

8.2 Use of the Phone Support Ltd service includes the provision of several 'enhanced services' which are subject to an additional charge, these would include, but are not limited to; telephone numbers, additional storage, excess units, and SMS messages.

8.4 Phone Support Ltd reserves the right to withdraw enhanced service or make any changes to these services that it deems necessary. In the event of such a change all registered Phone Support Ltd customers will be notified of the change via email.

8.5 You acknowledge and agree that by signing up for auto renew on any or all of the enhanced service you are granting Phone Support Ltd the right to automatically charge your account for these services when they expire. The charge for these services will be deducted from your account balance, if there are not sufficient balance on your account then the services will be charged to the payment method stored for use on your Phone Support Ltd customer account. If no payment method is stored on your account then provision of the service will be terminated.

8.6 Phone Support Ltd reserves to the right to; change, remove or add payment methods for enhanced services. The offer of any/all payment methods is at the sole discretion of Phone Support Ltd .

8.7 Phone Support Ltd from time to time may offer its users 'free' credits, which can be used as payment towards these enhanced services. The balanace will be deducted from your account as and when purchases are made.

8.8 From time to time Phone Support Ltd may offer, its customers, the right to purchase physical goods via the Phone Support Ltd site. Where goods are sold directly through Phone Support Ltd , you have the right to return these for a full refund (minus delivery charges) provided; the goods are returned at your own expense, within fourteen days of receipt and in the condition they were sold. Goods sold via third parties, the third parties Terms & Conditions will apply and Phone Support Ltd assumes no liability for refunds on purchased items.

8.9 You acknowledge and agree that once a purchase is made, this includes, but is not limited to extra units; you have no rights to cancel the purchase/contract other than pursuant via these Terms and Conditions.

8.10 Phone Support Ltd customers can if they desire terminate their account, however any account credit will not be refunded. A customer can however keep their account balance active for future services they may sign up for, however should the account remain inactive for a period of 6 months the balance will expire.

8.11 Phone Support Ltd reserves the right to add new services for additional fees and charges, or amend fees and charges for existing services, at any time at its sole discretion.

9) DATA PROTECTION

9.1 Any and all information provided to Phone Support Ltd about you will only be used in accordance with the Phone Support Ltd Privacy Policy. Phone Support Ltd adheres to the Date Protection Act.

9.2 Phone Support Ltd record and reserve the right to monitor all communication within the Phone Support Ltd site. Phone Support Ltd will never release this information without the customers consent.

9.3 The term "Personal Data" shall mean (except where the context requires otherwise) any data supplied by a Phone Support Ltd customer, which relates to a living individual who can be identified from that data, or from these data and other information which is in the possession of or is likely to come into the possession of Phone Support Ltd .

9.4 These Terms & Conditions should be read in accordance with the Phone Support Ltd Privacy Policy.

10) PHONE SUPPORT LTD COMPETITIONS AND PRIZE DRAWS

10.1 You acknowledge and agree that any competitions run via the Phone Support Ltd website will be subject to additional Terms and Conditions, these will be made available at the time of such competitions.

11) CHOICE OF LAW AND JURISDICTION

11.1 These Terms and Conditions are governed by the laws of England and Wales. Phone Support Ltd and you shall agree that the English Courts have exclusive authority to determine any matter or dispute in connection with, or arising from the Phone Support Ltd website and these Terms & Conditions.

11.2 Phone Support Ltd's failure to enforce these Terms and Conditions does not constitute a waiver of such rights.

11.3 If any part of these Terms and Conditions is found to be invalid by a court of law or any other appropriate body, the remains of the Terms and Conditions will remain in full force and effect.

11.4 The sub headings used in these Terms and Conditions are for convenience only and they have no legal or contractual effect.
